SONYA TURKISH COFFEE, TAROT & HEALING, LLC under registration number 33-4373085, and headquartered at 2015 Sanford Avenue, Sanford/FL 32771. SONYA TURKISH COFFEE, TAROT & HEALING operates the online platform known as runspiritual.com, providing intermediary services between an Expert and a Client for the provision of services.
This contractual document defines the rights and obligations of Users in their use of the runspiritual.com platform and the role and responsibilities of SONYA TURKISH COFFEE, TAROT & HEALING in managing the runspiritual.com platform.
The relevant documents (“Relevant Documents”) consist of Personal Data Protection Policy.
DEFINITIONS
"Customer" refers to any natural person who uses the Platform to benefit from the services offered by Experts.
"Confidential Access Information" refers to the personal information consisting of username and password that allows the User to access their Account.
"Account" refers to the personal area containing the information of each User accessible on the runspiritual.com platform.
"Expert" refers to any natural or legal person who provides services on the runspiritual.com platform in a professional capacity and under the conditions they determine.
"KYC" (Know Your Customer) refers to the process that allows the Expert's identity to be verified.
" runspiritual.com Platform" refers to the technical platform accessible via runspiritual.com website or telephone that enables communication between Experts and their Customers.
"User Services" refers to the help service allocated to provide support to Users and accessible via email, telephone or mail.
"User" refers to any Customer or Expert using the runspiritual.com platform.
Subject
The runspiritual.com platform enables the Customer to contact an Expert to benefit from services offered in various support and consulting areas, within the framework of commercial terms freely determined by the Expert and in accordance with these Terms of Use.
The purpose of these Terms of Use is to define the terms of use of the runspiritual.com platform for each User.
The User expressly declares that they have read and accepted these Terms of Use.
runspiritual.com Registration
1. Applicable Conditions for All Users
In order for a User to use the runspiritual.com Platform, prior registration with the runspiritual.com platform is mandatory. To this end, the User must create their Account by filling out the registration form on the runspiritual.com platform or by contacting User Services via telephone.
The User undertakes to fill in all mandatory fields in the form and to provide runspiritual.com with accurate, complete, and up-to-date information so that the creation of their Account can be approved by runspiritual.com.
The User acknowledges that providing incorrect, incomplete, untrue, or outdated information during registration may result in liability to both other Users and runspiritual.com.
The User is responsible for keeping the information provided up-to-date and must change the information on their Account accordingly in case of any changes. The User is fully responsible to other Users and runspiritual.com for the consequences arising from their negligence or omissions in this regard.
runspiritual.com reserves the right to suspend or close the account of any User who provides incorrect, incomplete, untrue, or outdated information, or who fails to comply with their primary obligations, particularly as a Customer, such as payment obligations.
runspiritual.com may, at its sole discretion, terminate the suspension or allow the User to re-register if the incorrect information is corrected or if the following conditions are met:
The information in question has not resulted in harmful consequences for other Users and/or runspiritual.com; and/or
The User has acted in good faith without any intent to conceal or deceive.
runspiritual.com assigns Confidential Access Information to the User upon account creation.
runspiritual.com reserves the right to request the User to change all or part of their Confidential Access Information, particularly for regulatory, technical, or security reasons. The User cannot object to this request and therefore cannot claim any compensation.
Confidential Access Information is strictly confidential and is for personal use only. It is the User's responsibility to take all necessary measures to prevent third parties from accessing this information. Therefore, the User undertakes not to disclose this information to anyone under any circumstances. The User is solely responsible for the storage and use of this information and will be held liable for the actions and behavior of any person using their Account, even if done without their knowledge.
Any transaction in which the User's identity is verified using Confidential Access Information is considered valid by the runspiritual.com platform and is binding on the relevant User.
The User undertakes to immediately change this information if they have reasons to believe that the confidentiality of their Confidential Access Information has been violated or that an unauthorized person has accessed or may have accessed this information.
The User must immediately notify runspiritual.com User Services of this situation. runspiritual.com will immediately suspend access to the runspiritual.com platform using the old Confidential Access Information.
2. Customer-specific conditions
Any natural person who is at least 18 years old and has full legal capacity can register as a Customer on the runspiritual.com platform.
3. Special Conditions for Experts
Any natural or legal person who has a tax identification number in a country outside of USA can register as an Expert. This number must remain valid for the duration of the Expert's registration on the runspiritual.com platform. An Expert who no longer possesses such a number cannot remain registered on the runspiritual.com platform.
To register on the runspiritual.com platform, the Expert provides runspiritual.com with the necessary information. This information includes a KYC file that enables the collection of necessary information for transmission to payment service providers.
The KYC file includes the name and address of the company and its representative; the VAT number or tax identification number if applicable, and the company's bank account information; as well as the company representative's date of birth, identity card number, telephone number, email address, and identification photograph. This list is not exhaustive; it may change depending on regulatory requirements.
runspiritual.com reserves the right to request additional information from the Expert, particularly depending on the Expert's legal obligations and applicable legislation; This may include declarations submitted by the Expert to tax and social security authorities. Because the Expert providing services on the runspiritual.com Platform is subject to various reporting obligations, particularly with regard to tax and social security authorities. The Expert must be up-to-date with respect to all social security contributions, taxes, and similar financial obligations arising from transactions conducted through the runspiritual.com Platform.
The Expert must not offer prohibited services (“Prohibited Services”) through the runspiritual.com Platform. Prohibited Services encompass all activities that violate laws and regulations and that, as a technical intermediary, may lead to administrative, legal, or criminal sanctions for the Expert and/or runspiritual.com.
For informational purposes, the following activities are prohibited on the runspiritual.com platform:
All types of gambling activities, including betting and legally permitted lotteries;
Notarial activities;
All activities related to prostitution;
All activities that violate the principle of respect for the human body, including pornographic activities;
All activities that generally harm human dignity;
Any conduct constituting exploitation of a vulnerable position.
runspiritual.com s prior approval is required for service activities that are subject to a diploma, professional organization registration, permit, license, or other regulatory or administrative authorization as required by law or regulations.
Therefore, the Expert must verify that the service they plan to offer on the runspiritual.com platform does not constitute a Prohibited Service or a service subject to special permission.
To ensure the smooth operation of the runspiritual.com latform, runspiritual.com limits the number of Experts registered on the runspiritual.com Platform according to the following criteria:
Number of Clients using the runspiritual.com Platform;
Number of transactions requested by Clients;
runspiritual.com 's capacity to handle requests coming through User Services;
Technical limitations regarding the administration of the runspiritual.com platform.
Since the number of Experts registered on the runspiritual.com platform is limited, a new Expert must first demonstrate their capacity to provide quality service before they can register on the platform. For this purpose, the Expert must undergo an evaluation process conducted by runspiritual.com.
runspiritual.com reserves the right to refuse the registration of a new Expert.
4. Additional conditions specific to Experts
The following points are emphasized within the scope of services offered on the runspiritual.com Platform:
Services provided by Experts are offered within an informative approach and a framework of personal assessment and do not in any way constitute rigorous science;
These services are exclusively informative and aimed at personal assessment;
In this context, no information, assessment, or recommendation conveyed within the scope of these services can be interpreted as definitive, complete, or guaranteed;
Experts are subject to a duty of care and are in no way bound by any obligation to deliver results;
The purpose of services offered on the runspiritual.com platform is solely to provide a complementary perspective to assist the Client in their personal assessment.
Experts:
Provide their services with courtesy, seriousness, and prudence;
Maintain the strictest confidentiality regarding information provided to them by the Client;
Avoid any statements or recommendations regarding the health and/or physical condition of the Client and/or their relatives;
To refrain from any practice that is unlawful, misleading, or harmful to the rights of individuals; to refrain from any conduct that constitutes exploiting a vulnerable position.
runspiritual.com 's Role
runspiritual.com 's role is to act as a technical communication intermediary providing the runspiritual.com platform and its tools to Users.
runspiritual.com is not a contractual party to and is not responsible for the production and provision of services by Experts.
The Expert is solely responsible for the terms and performance of the contract entered into with the Client and for the information shared on the runspiritual.com platform.
Transactions are established directly between the Expert and the Client.
Therefore, runspiritual.com, while reserving its responsibilities as a technical tool provider, assumes no responsibility in connection with negotiations regarding services, the conclusion of the contract, and the performance of services, and does not guarantee either the proper performance of the services or the payment of transactions by the Client.
In particular, runspiritual.com does not exercise control over and assumes no responsibility for:
The quality, legality, or compliance of the services provided or performed by Experts;
The reliability, accuracy, or legality of any information relating to the Services or the Users' identities;
The competence of the experts;
The professional training of the experts;
The Users' ability to pay.
runspiritual.com uses technical payment service providers for processing payments on the runspiritual.com platform.
In the event of a dispute between Users regarding a transaction, the relevant Users are requested to contact User Services to notify runspiritual.com of the existence of the dispute; this includes, in particular, complaints and refund requests. In accordance with the clause on dispute resolution, Users should first attempt to resolve the dispute between themselves.
Users' websites
runspiritual.com is not responsible for the content of websites accessible through references and links added by Users.
The user is responsible for taking all necessary precautions to ensure that the attachments they make available do not contain viruses, worms, Trojan horses, or other elements that could harm the equipment of other users or runspiritual.com and/or the proper functioning of the runspiritual.com platform. In no event shall runspiritual.com be held liable to any person for any direct, indirect, or other damages arising from the use of third-party websites.
User Obligations
Using the runspiritual.com platform requires the User to adhere to a code of conduct, particularly regarding compliance with laws and regulations, and moral values such as respect for others, courtesy, good faith, and honesty. Users are also obligated to act in accordance with these principles in forums and blogs accessible or offered through the runspiritual.com platform.
Using the runspiritual.com Platform also requires compliance with the principles established by runspiritual.com regarding User moderation.
Any behavior that violates laws and regulations can be reported to runspiritual.com.
The User acknowledges that the information they make available on the runspiritual.com Platform is solely their responsibility. Therefore, the User undertakes to ensure that the information they disseminate on the runspiritual.com platform does not violate applicable legal and regulatory provisions.
In this context, runspiritual.com reserves the right to remove any content, data, information, or offer that is clearly illegal or inappropriate from the runspiritual.com platform, and even to suspend or permanently close the relevant User's Account.
The following actions are prohibited for the User:
Violating or attempting to violate the security or integrity of the runspiritual.com platform; in particular:
Performing any action that may jeopardize or interfere with the proper functioning of the runspiritual.com platform or any transaction performed on the runspiritual.com platform;
Performing any action that places an unreasonable or disproportionate burden on the runspiritual.com platform infrastructure;
Accessing or attempting to access data not intended for the User's viewing;
Entering or attempting to enter a server or account to which the User does not have access authorization;
Harassing, threatening, insulting, or violating the privacy of another User, or disseminating information that is defamatory, insulting, or libelous;
Damaging human dignity or attacking the privacy of others through racist, violent, pornographic, or denialist text, images, or videos;
Violating legal provisions relating to intellectual property rights and, in particular, performing actions that may constitute infringement;
Any "framing" or "mirror site" activity that virtually copies the runspiritual.com platform, creating a link on another site that redirects to the runspiritual.com platform, or adding a link to a third-party site to any service offer or profile is prohibited. However, links created by Experts to direct users to the Terms of Use, a professional regulation, or a general presentation of the Expert's activities or services are permitted; using information about other Users for inappropriate or unlawful purposes, such as unsolicited commercial communications, sweepstakes or contest participation offers, sending chain letters, or in violation of the Personal Data Protection Policy.
Intellectual Property
1. runspiritual.com
runspiritual.com declares that it owns the rights to the runspiritual.com platform and its mobile applications.
Any act of imitation or any action that may be characterized as such, carried out by a third party and brought to the User's attention, must be reported to runspiritual.com; runspiritual.com will carry out the necessary follow-up procedures.
The runspiritual.com brand and logos, as well as other brands and logos belonging to runspiritual.com and its business partners, are protected by appropriate registrations with the relevant authorities.
All texts, images, icons, drawings, graphics, photographs, programs, and other elements on the runspiritual.com Platform are the property of Runspiritual.com or its business partners and are protected by USA copyright law.
The use of images, texts, icons, drawings, graphics, photographs, programs, and other elements on the Runspiritual.com Platform in any commercial or non-commercial manner without the prior written permission of runspiritual.com is strictly prohibited.
runspiritual.com accepts no responsibility for any infringement claims arising between Users or, in general, any infringement claims brought against a User by a third party.
2. Expert
The Expert guarantees that it owns the intellectual property rights and image rights that allow it to register the advertisement it publishes on the Runspiritual.com Platform and undertakes to protect runspiritual.com against any claims of infringement brought by third parties.
The Expert grants runspiritual.com a free and non-exclusive license to use and operate, worldwide and for the duration of the rights protection, for the purpose of displaying advertisements on the Runspiritual.com Platform, including its trade name, trademark, logo, photograph, etc., and any information contained in the advertisement content for which it retains intellectual property rights.
This license to use and operate specifically covers the following rights:
Right of reproduction; The right to reproduce or have reproduced any content, in all forms and on all media, by all means known or unknown today, without limitation as to the number of copies, including the right to make all necessary reproductions for uploading, displaying, running, transmitting, and storing; the right to record or have recorded any content, including downloading over a network, reproduction via all electronic and/or digital media known or unknown today, and via any computer or digital network over closed/private and open networks; the right to adapt; in particular the right to adapt, correct, translate, edit, digitize, retouch, improve, maintain, analyze, combine, modify or have modified the content; the right to delete, add, integrate wholly or partially, and rewrite the content in its own language or code structures and translate it into all languages or computing languages; the right to represent; in particular the right to publicly represent or have represented the content by all means known or unknown today; this includes broadcasting, public or private display, transmission by broadcast, transmission by analog and/or digital means, transmission over national and/or international, open and/or private telecommunication networks; The right to use; specifically, the right to use the content for Runspiritual.com's own needs or for the benefit of third parties, in connection with all uses related to the posting of advertisements on the runspiritual.com platform.
Establishing Transactions
1. Information Provided by the Expert
The Expert is prohibited from providing misleading or deliberately false, ambiguous, or incomplete information when publishing a service offer on the runspiritual.com platform.
Before the transaction, the Expert is obliged to describe the subject, price, and features of the service offered as accurately and in detail as possible, using the tools provided on the runspiritual.com platform and in the "Book a service" section.
In general, the Expert guarantees that it is authorized to provide the services it offers in accordance with applicable laws and regulations.
The Expert is liable to Clients, runspiritual.com, third parties, and competent authorities for any violations of applicable regulations depending on the nature of the services offered.
In particular, the Expert is obliged to comply with all applicable consumer law rules, and in particular with Articles of the US Consumer Codes applicable to contracts concluded electronically.
If a natural person, their full name; if a legal entity, their trade name and legal form;
VAT number, if applicable;
Tax identification number, if applicable;
If the Expert is a member of a regulated profession, a reference to the relevant professional rules, their professional title, the USA in which this title was issued, and the name of the professional organization or institution where they are registered;
Payment and performance terms of the service;
Information that the Client does not have a right of withdrawal;
Validity period of the offer and price;
Possibility of contacting a consumer mediator.
The Expert undertakes to use the personal data of Clients collected through the runspiritual.com platform only for the purpose of performing the service offered on the runspiritual.com platform and in accordance with the Personal Data Protection Policy; in particular, not to use this data on a competing platform. The Expert undertakes not to engage in conduct contrary to business ethics and, in particular, not to engage in acts constituting unfair competition or parasitic competition.
2. Establishing Communication
When a Customer wishes to use a service, they must accept the terms and details of the service offered by the Expert before requesting to contact the Expert (“Establishing Communication”).
Establishing Communication is considered to have occurred when the Expert agrees to provide the service to the Customer.
However, a service contract between the Customer and the Expert is deemed to have been established only from the moment the Expert and the Customer establish communication on the runspiritual.com platform and the Expert accepts the request for Establishing Communication. Establishing Communication does not constitute acceptance of a definitive offer; the establishment of the transaction is subject to approval by the Expert, and the Expert is not obliged to positively respond to all requests made to them.
The Customer is not obligated to pay the transaction fee before the transaction takes place.
The Customer is also informed that, due to the nature of the services, after they have been performed, they cannot assert any right of withdrawal against either runspiritual.com or the Expert providing the service.
The Client acknowledges that their relationship with runspiritual.com is governed by USA law, regardless of the Client's or Expert's country of residence or the location where the service or related payment is rendered. However, if the Client is considered a consumer within the meaning of USA Consumer Law, the mandatory provisions of the Client's country of residence shall continue to apply.
Financial Terms
1. Financial Terms Regarding Expert Services
1.1. Price of Expert Services
The Expert independently determines the fees to be applied to the service provided through the runspiritual.com platform, within the framework of the technical capabilities offered by the runspiritual.com platform.
The price of the service depends on the criteria the Expert uses when establishing their own pricing conditions.
The price may consist of the following options:
A per-minute fee and, if necessary, an additional fixed call amount;
A time package for a specified number of minutes and, if necessary, a per-minute fee for the portion exceeding the package duration;
A fixed fee for a one-time service.
When the Expert chooses a minute-based pricing, billing is done in one-minute increments. Each minute initiated is paid by the Customer.
1.2. Conditions Regarding the Customer's Billing to the Expert
The Expert's fee is paid by the Customer upon performance of the service.
After the service is rendered, the Expert must send an invoice to each requesting Customer via email containing the following information:
Date of service;
Expert's name, address, VAT number (if any), SIREN number and registration number in the trade and companies register or tax identification number;
Customer's user ID, name and address;
Detailed breakdown;
Total amount excluding and including tax.
1.3. Refund
In the event of fraudulent bank card payments, the cardholder has the right to request a refund of the disputed amount.
If an event occurs that leads to a refund of the transaction amount by runspiritual.com (such as disputed or cancelled transactions) or if runspiritual.com is unable to collect the payment (for example, if the Customer's account has insufficient funds), since runspiritual.com 's role is limited to facilitating payment and the risks related to the transaction are borne solely by the Expert, the Expert is obligated to pay runspiritual.com the relevant amount.
runspiritual.com will provide the Expert with supporting documents regarding the refund upon the Expert's simple request.
runspiritual.com will deduct the disputed amount from future payments to the Expert in accordance with the legal offsetting rules of the USA Civil Code.
2. Financial terms of services provided by runspiritual.com
2.1. Pricing for services provided to clients
runspiritual.com charges the Client a service fee for the use of the runspiritual.com platform.
The terms of calculation and payment of this fee will be specified before the service commences.
In case of telephone communication, runspiritual.com may also charge the Client for communication costs depending on the destination of the call.
The terms of billing and payment of these communication costs will be specified before the service commences.
2.2. Pricing for services provided to Experts
runspiritual.com charges the Expert a fee for the following services:
Access to the technical interface;
The role of intermediary in the collection process;
User Services;
Marketing and development of the expert's client base;
Telecommunication costs related to services provided by telephone.
The expert is responsible for a monthly platform fee of USD250 as long as their registration on the runspiritual.com platform continues. This amount applies to all experts. If the amount calculated to be owed by the expert to runspiritual.com for a given month is less than USD250, the expert undertakes to pay the full USD250 for that month. Runspiritual.com reserves the right to change the fee amount by informing the expert thirty (30) days before this change takes effect.

3. Payment Terms
3.1. Terms and Methods of Payment by the Customer to the Expert
The Expert's fee is paid by the Customer upon performance of the service.
Payment by the Customer to the Expert is made using one of the secure payment methods offered through the runspiritual.com platform.
runspiritual.com offers Customers several secure payment methods, including but not limited to:
Payment by bank card or another equivalent payment method supported by runspiritual.com;
A bank card payment instruction for the service fee made through the secure runspiritual.com payment service is irrevocable except in cases of fraudulent use of the bank card.
Therefore, the Customer cannot object to this payment on the grounds that they are dissatisfied with the service or that the service does not meet the specifications of the offer. In the event of a dispute between the Expert and the Client, the parties shall first attempt to resolve the dispute in accordance with the procedure set forth in the Dispute Resolution clause of these Terms of Use.
3.2. Escrow Account and Expert Payment
The blocking of the transaction amount between the Expert and the Client is carried out on an escrow account managed by the payment service provider.
The Expert authorizes runspiritual.com to collect the amount due from the Client in connection with a transaction in the escrow account.
The Expert acknowledges that the amounts deposited into the escrow account correspond exclusively to the payment of transactions carried out on the runspiritual.com platform.
The Expert waives any claim to interest that may arise due to the blocking of the amounts deposited by the Client into this account; such interest belongs to runspiritual.com in accordance with Articles of the USA Civil Code.
If it is discovered immediately after the transaction that the amount has not reached the escrow account, the Expert is free to take personal action against the Client, who is the creditor.
After the transaction fee is deposited into the escrow account, payment will be made to the Expert on the first business day after the 5th of the following month, provided that the difference between the total service fees invoiced by the Expert to the Clients and the fees owed by the Expert to runspiritual.com pursuant to Articles is at least USD100.
Otherwise, if the amount payable to the Expert for the relevant month is less than USD100, payment will only be made when this threshold is reached.
3.3. Payment of the minimum fee under Article 2.2
runspiritual.com calculates the Expert's net earnings each month as the difference between the total service fees invoiced by the Expert to the Clients and the fees owed by the Expert to runspiritual.com pursuant to Article 2.2. If this net earnings are less than the minimum monthly fee of USD250, the Expert must pay the difference between the net earnings and the minimum fee to runspiritual.com by the first business day after the 5th of the following month.
Expert Ranking
The ranking of an expert in the search results on the runspiritual.com platform primarily depends on the expert's availability at the time the Client performs the search.
After that, the ranking is entirely random.
However, the Client can use the category-based sorting options given in the examples below:
Privileged Experts: sorted by availability;
Top 10: sorted first by availability, then by the number of transactions in the last 15 days;
Experienced Experts: sorted first by availability, then by account opening date, with the oldest accounts appearing first;
Highest Rated: sorted first by availability, then by satisfaction rate;
New Experts: sorted first by availability, then by account opening date within the last 12 months;
Preferred Experts: sorted first by availability, then by the Experts the Client has consulted before;
Experts participating in specific promotional campaigns or offering specific services (such as video calls).
User Reviews
Customers who have used a service lasting at least 5 minutes (excluding free periods) can leave reviews on the profiles of the Experts they have contacted. Similarly, Experts can respond to any review left by a Customer on their profile.
runspiritual.com does not pre-check reviews left by Users. All reviews left by Users are published on the runspiritual.com platform. Only a Customer who has previously used the Expert's services can leave a review about that Expert.
Reviews left by Users on the runspiritual.com platform must be written in good faith and without malicious intent; reviews must not contain statements that glorify crimes against humanity, incite racist hatred or violence, are racist, xenophobic, homophobic or pornographic in nature, or generally harm human dignity.
If the Expert believes a comment is defamatory or libelous, they must notify runspiritual.com customer service in writing (via email to runspiritual.com), including the following:
A valid identification document;
A description of the disputed facts and their exact location (specifically, the parts of the comment that appear disputed, the date the comment was posted, and the name or pseudonym of the person who posted the comment);
Reasons for why the content should be removed, including relevant legal provisions and factual evidence (e.g., threats, blackmail, defamation, etc.);
A copy of the correspondence sent to the author of the comment or a reason indicating that the Expert was unable to contact the person concerned.
In any case, the content of the comments left is entirely the responsibility of their authors.
Published comments will show the date of publication or the date of last modification.
Comments are not subject to any compensation whatsoever. Reviews published on the runspiritual.com platform remain online indefinitely from the moment they are published by Clients or Experts. However, it is noted that there may be a certain delay between the date the review is written and the date it is published on the runspiritual.com platform.
Published reviews are solely part of the contractual relationship between the Expert and their Client. Except in very exceptional cases involving defamation or insult, runspiritual.com does not subsequently review reviews. In any case, runspiritual.com does not draw any conclusions from the reviews. In particular, reviews do not have any effect on the Expert's visibility, access to the runspiritual.com platform, or continued registration on the runspiritual.com platform; lists based solely on reviews, such as "Top Rated" lists, are excluded from this scope.
Moderation
runspiritual.com warns Customers about the risk of overuse of certain services and shares its recommendations.
runspiritual.com sets a maximum limit of US250 per Customer for each transaction. If this amount is exceeded, the service will be terminated after the Customer is informed.
Each month, the Customer's Account will be blocked when the monthly transaction amount exceeds USD2000 ("Monthly Limit"). The Customer can reactivate their Account via their personal area.
Unless the Customer explicitly requests otherwise, it will be automatically reactivated at the beginning of the following month. The Customer may request a change to the Monthly Limit amount at any time by contacting runspiritual.com User Services.
The risk of overuse refers to a situation that may arise from the excessive and immoderate use of Experts' services.
Some Customers may face the risk of overuse due to their excessive use of Experts' services. runspiritual.com advises each Customer to use Expert services reasonably and moderately in order to prevent this risk.
runspiritual.com provides a survey containing the following questions to help Customers assess the risk of overuse:
Do you spend longer than you initially anticipated speaking with an Expert?
Have you ever spent money on an Expert's services that was necessary for your basic needs?
Do you make decisions solely with the help of Experts?
Has the use of services negatively impacted your family life?
Have you ever taken time off from your work to contact an Expert?
Have you ever considered it a sacrifice to forgo services offered through the runspiritual.com platform?
Answering positively to two or more of the above questions may indicate a risk of overuse.
To prevent the emergence of overuse risk, runspiritual.com encourages Experts who suspect such behavior in a Customer to report it to runspiritual.com.
runspiritual.com advises Customers to avoid behaviors that could lead to overuse and to use the services responsibly.
In this context, runspiritual.com recommends adopting the following behaviors for healthy usage:
Setting daily and monthly maximum spending limits;
Regularly monitoring account usage;
Avoiding using services during periods of confusion;
Not viewing services as an escape from psychological problems;
Not making important decisions solely based on Experts' recommendations.
The Customer may decide to permanently close their Account only by contacting runspiritual.com User Services.
The Customer undertakes to provide accurate and complete information during the permanent closure of their Account so that runspiritual.com can identify them and reject any new registration request.
runspiritual.com informs the Expert that exploiting a Customer's vulnerable situation by excessively directing them to its services constitutes an act of exploiting a vulnerable situation subject to criminal penalties. Such behavior is prohibited on the runspiritual.com platform.
Content Removal
In the event of a serious breach of the Terms of Use or any unlawful conduct, runspiritual.com reserves the right to immediately remove certain content from the Runspiritual.com Platform without prior notice and/or to suspend or close the User's Account or take other measures it deems appropriate.
However, runspiritual.com is not obligated to generally monitor the information and content accessible on the Runspiritual.com Platform or to generally investigate events and circumstances that may reveal unlawful activities.
If a User becomes aware that a violation of applicable laws and regulations has been committed on the runspiritual.com platform, and specifically that the content contains material that glorifies crimes against humanity, incites racist hatred or violence, is pornographic in nature, or generally harms human dignity, that User undertakes to immediately notify runspiritual.com by contacting User Services and to provide information that will enable the identification of the offending content and/or its perpetrator.
It is prohibited for the User to use the Runspiritual.com Platform for fraudulent purposes and, in particular, to engage in money laundering activities.
The User is informed that runspiritual.com will, at its sole discretion, provide all necessary information, including identification details, to the competent authorities responsible for investigating such runspiritual.com.
For security purposes, Runspiritual.com may suspend or close a User's Account unilaterally, definitively, and without prior notice if there are indications that such a violation has occurred.
Each User undertakes to protect and indemnify runspiritual.com against any claims brought by a third party due to violations of the Terms of Use, applicable laws and regulations, any intellectual property rights, or failure to perform an action by the relevant User. The User also undertakes to fully and completely cooperate in the handling of a complaint made against them by another User or in the negotiation of a possible settlement.
Liabilities
runspiritual.com assumes no liability other than those arising from its role as an online intermediary.
runspiritual.com does not guarantee the availability or performance of the runspiritual.com platform; the User cannot hold runspiritual.com liable for lost earnings, lost opportunities, or lost turnover.
In any case, runspiritual.com will only cover direct and foreseeable damages incurred by the User and damages arising from breaches of its obligations under these Terms or the law, limited to a maximum of USD200 per User and per damage.
The limitation of liability defined above does not apply in cases of runspiritual.com 's willful negligence or gross negligence, bodily harm, or where the User is a consumer and Runspiritual.com has violated the rules protecting them.
The User is liable for any direct or indirect, material or non-material damages and losses caused to runspiritual.com and/or any of runspiritual.com 's business partners.
The User agrees to indemnify runspiritual.com for all losses, expenses, damages, and costs that may arise from non-compliance with the Terms of Use.
runspiritual.com is not responsible for the proper performance or content of the Expert's service.
Therefore, runspiritual.com, without prejudice to its responsibilities as the operator of the runspiritual.com platform, assumes no responsibility regarding negotiations, the formation and performance of the contract related to the services; it does not guarantee the success of the services provided by the Expert or their payment by the Customer.
runspiritual.com specifically does not exercise any control over or assume responsibility for the following:
The quality, legality, or compliance of the services provided by the expert;
The reliability, accuracy, or legality of any information relating to the expert's services or the client's identity;
The expert's professional competence;
The client's ability to pay.
Suspension / Account Closure
If a User breaches any of its obligations, Runspiritual.com may unilaterally suspend or terminate an Account without the need for a court order and without paying any compensation.
runspiritual.com will notify the User electronically, requesting that they cease the breach within thirty (30) days. If the User fails to take any measures to remedy the breach, runspiritual.com reserves the right to immediately suspend or close the User's Account.
runspiritual.com will notify the User of the suspension or closure decision via email or registered mail.
During this period, in the case of an Expert, the Expert may continue to provide services through the runspiritual.com platform; however, they will not be featured on Runspiritual.com websites.
The following actions, for example, may lead to the suspension or closure of a User's Account:
Harassment of runspiritual.com employees;
Failure to pay amounts owed to runspiritual.com;
Failure to comply with the provisions of these Terms;
Any behavior that defames runspiritual.com in the eyes of third parties and damages runspiritual.com 's brand image;
Aggressive or insulting behavior towards other Users or runspiritual.com employees, especially User Services;
In particular, for an Expert, the following actions may be grounds for suspension or termination:
Failure to comply with the provisions of these Terms;
Failure to pay the negative balance as stated in Articles
Recurring problems reported by Customers;
Deliberately interrupting conversations, especially to prevent comments from being left;
Sending unfounded alarm messages to a Customer;
Disclosure of confidential Customer information (especially when responding to comments);
Using the platform to send mass unsolicited emails;
Malicious behavior towards another Expert;
Fraudulent practices regarding the referral of an Expert;
Failure to comply with the Runspiritual.com exclusivity agreement; Failure to comply with regulations or tax obligations;
Incomplete or inconsistent administrative information (SIRET, unestablished company, accuracy of residence information, invalid VAT or tax identification number, etc., if any);
Refusal to allow payment through a partner organization within the scope of the KYC process.
The User may request the suspension or closure of their Account at any time by contacting User Services, provided that all debts related to the services provided have been fully paid.
Suspension of an Expert's Account makes it impossible for them to provide services through the runspiritual.com platform. The Expert retains a history of the services provided and relevant customer reviews. During the suspension period, the Expert is not liable for the minimum fee stipulated in clauses.
Closure of the Runspiritual.com Platform
runspiritual.com may, at its sole discretion, terminate the operation of the runspiritual.com platform by notifying Users one (1) month in advance, and provided that such a decision does not in any way create any liability for runspiritual.com. Under the same conditions, runspiritual.com also reserves the right, at its sole discretion, to terminate the provision of a specific category of service on the runspiritual.com platfo
rm; such termination also does not in any way create any liability for runspiritual.com.
Amendment of the Terms of Use and Development of the runspiritual.com platform
runspiritual.com reserves the right to amend the Terms of Use at any time and to improve the features of the Runspiritual.com Platform and its tools, in particular its technical specifications.
The User shall be notified of any changes to the Terms of Use through their Account fifteen (15) to thirty (30) days before they come into effect; if the changes are made due to a mandatory rule or a court order, they shall take effect immediately.
The User has the right to request the closure of their Account before the notification period expires.
If the User connects to the Runspiritual.com Platform and/or continues to offer services on the Runspiritual.com Platform after the changes take effect, they shall be deemed to have definitively accepted those changes.
Evidence Agreement
The User acknowledges that electronic data (including connection data), records, and backups performed on the runspiritual.com platform (“Electronic Documents”) shall have full evidentiary value both in the relationships between Experts and Clients and in the transactions between the User and runspiritual.com. Accordingly, Electronic Documents (including dates and times) shall constitute valid evidence in any dispute that may arise between the parties; unless the party against whom the claim is made proves that the Electronic Document does not have evidentiary value. In this context, the User authorizes runspiritual.com to record communications conducted via remote communication tools, in particular telephone calls and email correspondence.
Similarly, call logs summarizing calls made by the User and forming the basis for billing, as well as copies of these logs on microfiche, optical or magnetic disks and magnetic tapes maintained by runspiritual.com, may be presented as evidence against the User.
runspiritual.com stores Electronic Documents documenting transactions on behalf of the User. Each User can access the Electronic Documents relating to transactions concerning them upon a simple request to Runspiritual.com.
Personal Data
The terms “Personal Data”, “Data Controller” and “Recipient” have the meanings provided for in the General Data Protection Regulation (“GDPR”) of USA.
Within the scope of these Terms of Use, runspiritual.com acts as the Data Controller and is authorized to collect certain Personal Data belonging to Users.
The methods of collecting Personal Data are explained in the Personal Data Protection Policy available on the runspiritual.com website.
General Provisions
If any provision of the Terms of Use is held invalid or unlawful by a competent court, that provision shall not have legal effect; however, this invalidity shall not affect the other provisions of the Terms of Use or the Terms of Use as a whole or their legal consequences.
The performance of runspiritual.com 's contractual obligations shall be suspended in the event of a force majeure event as defined by USA Civil Code and case law.
If the situation preventing runspiritual.com from performing its obligations is only temporary, the performance of these obligations shall be deemed suspended. The contract between runspiritual.com and the User shall be deemed terminated if the delay justifies the termination of the contract or if the situation preventing runspiritual.com from performing its obligations is definitive.
Users shall not be held liable for any delay or non-performance and shall not be deemed to have violated the Terms of Use if the delay or non-performance is due to a force majeure event as defined by USA Civil Code.
The User operates entirely independently on the runspiritual.com platform; registration does not in any way create a relationship of affiliation, agency, de facto partnership, partnership, or representation.
Any notice required in the Terms of Use must be sent by the User via registered mail to the following address: runspiritual.com, User Services.
runspiritual.com reserves the right to transfer all or part of the rights and obligations arising between the User and runspiritual.com to any company it deems appropriate.
Applicable Law – Dispute Resolution
The Terms of Use are governed by USA law.
A User who believes they have suffered damage as a result of a transaction on the runspiritual.com platform may initiate a dispute resolution process at any time via the “Messaging” module accessible from their Account.
The messaging system allows communication via webmail, particularly between two Users involved in a disputed transaction. Users are informed of each new message added to the dialogue via email and through their Account.
Users undertake to communicate in good faith, honestly, and sincerely. Therefore, it is prohibited for a User to harass, threaten, or insult their counterpart.
The User who initiates the dialogue may close it at any time.
The Expert involved in the dispute resolution process has the right, at their sole discretion and within the limits of the total amount invoiced to the Customer for the relevant transaction, to compensate the relevant User using the coupon creation module available in their area. The Customer's use of the coupon results in the resolution of the dispute.
Users who cannot resolve their disputes on their own may report the existence of such a dispute to runspiritual.com User Services.
Through User Services, runspiritual.com will endeavor to guide Users towards an amicable resolution within six (6) months of the transaction occurring.
Users undertake to provide runspiritual.com with all information and documents that runspiritual.com deems necessary for the resolution of the dispute; however, since runspiritual.com acts as an intermediary as defined in the Terms of Use, it does not guarantee that the dispute resolution process will have a positive outcome.
The User undertakes not to make an unfounded or malicious dispute notification. Otherwise, their Account may be automatically suspended or closed by runspiritual.com.
Special Procedure for Examining Complaints for Experts
Each Expert may file a complaint under this scope regarding the following matters:
An alleged breach of any of the obligations set for promoting fairness and transparency for businesses using online brokerage services, and this affecting the Expert's ability to file a complaint;
Technological issues directly related to the provision of runspiritual.com 's brokerage service and affecting the Expert;
A direct link between measures taken by runspiritual.com or runspiritual.com 's conduct and the provision of online brokerage services affecting the Expert.
The Expert should send their complaint to the following email address: info@ runspiritual.com
runspiritual.com undertakes to confirm receipt of this complaint within 48 hours (excluding weekends; in which case the period expires on the second business day following receipt of the complaint) and to respond within one month at the latest.
Any dispute between Expert and runspiritual.com will initially be submitted. Expert and runspiritual.com undertake to share a reasonable portion of the mediation costs and to cooperate fully to achieve an amicable solution. If mediation fails, the dispute will be referred to the FL Court of Justice.
